{"id":837,"date":"2020-08-19T11:28:26","date_gmt":"2020-08-19T11:28:26","guid":{"rendered":"https:\/\/apexuniversity.co.in\/LMS\/?p=837"},"modified":"2023-06-26T04:19:29","modified_gmt":"2023-06-26T04:19:29","slug":"why-contracts-in-writing-are-important-in-day-to-day-business-deals","status":"publish","type":"post","link":"https:\/\/lms.apexedu.org\/index.php\/2020\/08\/19\/why-contracts-in-writing-are-important-in-day-to-day-business-deals\/","title":{"rendered":"Why Contracts In Writing Are Important in Day To Day Business Deals?"},"content":{"rendered":"\r\n<p>All of us who are having business dealings as a part of our profession often don\u2019t go for contract in writing as we trust the opposite party and mostly we believe in the oral contracts as we have the fear of losing future business.<\/p>\r\n\r\n\r\n\r\n<p>Trust and mutual understanding is important in business as long as business transactions are smooth and nothing wrong happens but once a party feels the transaction didn\u2019t take place as par the oral commitment and other party cheated , we start realizing the importance of jotting down the terms and conditions of the agreement on paper.<\/p>\r\n\r\n\r\n\r\n<p>Therefore, to avoid complications and sour <strong><em><a href=\"http:\/\/apexuniversity.co.in\/management.php\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"business relationship (opens in a new tab)\">business relationship<\/a><\/em><\/strong> in future it is essential to have the terms and conditions in a written document .<\/p>\r\n\r\n\r\n\r\n<p>Here I am trying to put light on the importance of having written contract instead of oral one in commercial transactions<\/p>\r\n\r\n\r\n\r\n<p>Below are some of the essential elements required to be fulfilled under the Indian Contract Act 1872 for treating an agreement as a contract.<\/p>\r\n\r\n\r\n\r\n<p>1. There should be an offer made by one party.<\/p>\r\n\r\n\r\n\r\n<p>2. The offer must be accepted by the other party;<\/p>\r\n\r\n\r\n\r\n<p>3. All the parties to the contract must be competent<\/p>\r\n\r\n\r\n\r\n<p>4. Consideration and Object must be lawful,<\/p>\r\n\r\n\r\n\r\n<p>5. The agreement should not be expressly declared void by a law.<\/p>\r\n\r\n\r\n\r\n<p>Each of the above requirements have been explained in detail under the Indian Contract Act, 1872.<\/p>\r\n\r\n\r\n\r\n<p>We can see from the elements mentioned above that it\u2019s not essential to have the terms and conditions of the contract in writing, terms and conditions expressed orally are recongnised equally by law. Though in<\/p>\r\n\r\n\r\n\r\n<p>the Indian context , oral <strong><em><a href=\"http:\/\/apexuniversity.co.in\/management.php\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"business (opens in a new tab)\">business <\/a><\/em><\/strong>transactions are quite common and often don\u2019t relay on written agreements due to obvious reasons,<\/p>\r\n\r\n\r\n\r\n<p>There are some disadvantages of having business transactions based on Oral terms the most important ones being:<\/p>\r\n\r\n\r\n\r\n<p>\u00b7 The terms of the oral contract are governed by the conduct of the parties to the agreement. Sometimes, the parties to a contract don\u2019t perform their obligation or their performance differ from the promises they agreed upon and, therefore, the interpretation of the contract may completely be different from what the parties had originally intended.<\/p>\r\n\r\n\r\n\r\n<p>In the absence of a written contract, it is difficult to establish whether the contract has been breached, whether the party has performed his obligation as par the agreement terms.
